Terms and Conditions

These Terms and Conditions (Terms) govern the use of the WitCrew Human Resource Management System (WitCrew, Service), owned and operated by Nativewit (Nativewit, we, our, or us). By accessing or using WitCrew, you (Customer, Organization, you, or your) agree to be bound by these Terms. If you do not agree with these Terms, you must not use the Service.

1. About WitCrew

WitCrew is a cloud-based Human Resource Management System (HRMS) that provides tools and services for:

  • Employee management
  • Organizational structure management
  • Leave management
  • Attendance management
  • Asset management
  • Reporting and analytics
  • Notifications and communication
  • Mobile applications
  • Integration with third-party authentication providers

2. Eligibility

You represent and warrant that:

  • You have the authority to enter into these Terms on behalf of your organization.
  • Your use of the Service complies with all applicable laws and regulations.
  • Information provided to Nativewit is accurate and complete.

3. Subscription Plans

WitCrew offers:

  • Monthly subscriptions.
  • Annual subscriptions.
  • A thirty (30) day free trial.

Upon expiration of the free trial, continued access to the Service requires an active paid subscription.

Subscription fees are non-refundable except where required by applicable law.

Nativewit reserves the right to modify pricing upon prior notice.

4. Account Responsibilities

Customers are responsible for:

  • Maintaining the confidentiality of login credentials.
  • Managing user roles and permissions.
  • Ensuring only authorized users access the Service.
  • Promptly notifying Nativewit of any unauthorized access or security incident.

Activities performed using your account are deemed to have been performed by you.

5. Customer Data

All employee records, documents, files, and organizational information uploaded to WitCrew remain the property of the Customer.

Nativewit does not claim ownership of Customer Data.

Customers are solely responsible for:

  • Accuracy of uploaded information.
  • Obtaining necessary employee consents.
  • Compliance with applicable employment and privacy laws.

6. Privacy and Security

Nativewit employs commercially reasonable administrative, technical, and organizational measures to protect Customer Data.

Security measures include:

  • Role-based access controls.
  • Secure authentication mechanisms.
  • Audit logging.
  • Encrypted communication channels.
  • Secure cloud storage.
  • Temporary signed URLs for file access.

While reasonable safeguards are implemented, no system can guarantee absolute security.

7. Acceptable Use

Customers and users shall not:

  • Use the Service for unlawful purposes.
  • Attempt unauthorized access to the Service.
  • Circumvent security mechanisms.
  • Reverse engineer or decompile the platform.
  • Introduce malware, viruses, or malicious code.
  • Interfere with the operation or availability of the Service.
  • Use the Service to violate the rights of others.

Nativewit may suspend access for violations of this section.

8. Third-Party Services

WitCrew integrates with third-party providers including:

  • Amazon Web Services (AWS)
  • Google Authentication
  • Microsoft Authentication
  • Firebase Cloud Messaging

Nativewit is not responsible for outages, failures, or interruptions caused by third-party providers.

9. Availability

Nativewit strives to provide reliable access to the Service. However:

  • Continuous or uninterrupted availability is not guaranteed.
  • Maintenance activities may temporarily affect access.
  • Emergency maintenance may occur without prior notice.

The Service is provided on an 'as available' basis.

10. Intellectual Property

All rights, title, and interest in WitCrew software, source code, user interfaces, documentation, trademarks, logos, and designs are owned exclusively by Nativewit.

No ownership rights are transferred to Customers under these Terms.

11. Confidentiality

Both parties agree to maintain the confidentiality of non-public information disclosed during the course of the relationship.

Neither party shall disclose confidential information to third parties except:

  • With prior written consent or
  • As required by law.

These obligations survive termination of the agreement.

12. Payments and Taxes

Customers agree to pay all applicable subscription fees.

Failure to make payment may result in:

  • Restriction of features
  • Suspension of access or
  • Termination of the account.

Customers are responsible for any taxes, duties, or levies applicable under law.

13. Free Trial

WitCrew may provide a thirty (30) day free trial.

During the trial period:

  • Access is provided on an 'as is' basis.
  • Certain features may be limited.
  • Nativewit may terminate the trial at its discretion.

No warranties are provided during the free trial period.

14. Suspension and Termination

Nativewit may suspend or terminate access if:

  • Subscription fees remain unpaid.
  • These Terms are violated.
  • Fraudulent or unlawful activity is detected.
  • Continued access poses a security risk.

Customers may terminate their subscription at any time.

Termination does not relieve Customers from outstanding payment obligations.

15. Data Retention

Following termination or expiration of the subscription:

  • Customer Data may remain available for retrieval for a limited period determined by Nativewit.
  • Nativewit reserves the right to permanently delete Customer Data after such retention period.

Customers are responsible for exporting any required information before account closure.

16. Limitation of Liability

To the maximum extent permitted by law, Nativewit shall not be liable for:

  • Loss of profits
  • Loss of revenue
  • Business interruption
  • Loss of goodwill
  • Indirect, incidental, special, consequential, or punitive damages
  • Loss of data resulting from Customer actions or third-party service failures

Nativewit's aggregate liability under these Terms shall not exceed the subscription fees paid by the Customer during the twelve (12) months preceding the event giving rise to the claim.

17. Disclaimer of Warranties

The Service is provided 'AS IS' and 'AS AVAILABLE'.

Nativewit expressly disclaims all warranties, including:

  • Merchantability
  • Fitness for a particular purpose
  • Non-infringement
  • Availability without interruption or error.

Nativewit does not guarantee that the Service will be error-free or uninterrupted.

18. Indemnification

Customers agree to indemnify and hold harmless Nativewit and its employees, directors, and affiliates against claims, damages, liabilities, and expenses arising from:

  • Customer misuse of the Service
  • Violation of these Terms
  • Violation of applicable laws
  • Infringement of third-party rights

19. Modifications to the Service

Nativewit reserves the right to:

  • Modify features
  • Add new functionality
  • Discontinue features
  • Improve the Service from time to time

Reasonable efforts will be made to provide notice of material changes.

20. Changes to These Terms

Nativewit may update these Terms periodically.

Continued use of WitCrew following such updates constitutes acceptance of the revised Terms.

21. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India.

Any disputes arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the courts located in Chennai, Tamil Nadu, India.
